USE AND PRIVACY POLICY

1. Introduction

OneScience, Inc.(the “Company”) values the trust our clients place in us. This Use and Privacy Policy (“Policy”) describes how we work to maintain your trust and maximize your experience.This Policy is an agreement between you and the Company regarding (i) your use of the Company’s websites, services, software, and social media links (collectively, the “Site”) and (ii) our use of the information we may collect, from time to time, about you when you use the Site. The Companymay share information collectedunder this Policy among our divisions – Recruit.bio, Intron Biotalent, SciMed Advisors, and Sci.bio Recruiting. This Policy applies regardless of which division you’re working with. The Company may amend this Policy at any time.

2. Company Services

The Company makes available certain job listings (“Job Listings”) that may include links to third-party websites. The Job Listings are posted and indexed in an automated manner. The Company has not screened any of the Job Listings nor does it have responsibility for the accuracy or content of such listings or any third-party sites to which you are linked. By creating a Personal Profile and/or uploading a resume, you are authorizing the Company to make your resume and job interests available to prospective employers and to contact you regarding possible employment. If you have indicated that the Company may text you, standard messaging rates of your service provider will apply. The Company is not responsible in any way for the actions of any prospective employers, including the hiring process or questions asked.

3. Use of Site

You agree that you will only use the Site for job seeking purposes. You must not post (i) any information, images, audio, video, messages or other materials (“User Content”) that is unlawful, fraudulent, threatening, abusive, discriminatory, defamatory, obscene, sexual or otherwise objectionable; (ii) any information that is proprietary to others or causes spamming or flooding; or (iii) any official identification information (yours or that of another) such as a social security number, driver’s license number, or similar identifiers. The Company has the right to remove any information that it deems to violate this Policy. You agree that you will not (i) extracting data from the Site, such as screen scraping or crawling; (ii) sell, trade or resell the Site (or information thereon) for any purpose; or (iii) upload to or through the Site any harmful software such as viruses, worms, Trojan horses, time bombs, etc. The Company shall have an unrestricted, royalty-free license to use, sell, sublicense, reproduce, distribute, display and prepare derivative works from any and all User Content posted by you.

4.Information Collected

When you create a profile, request information, participate in a survey, post a resume, upload content or otherwise actively send or post data on a Site, we collect informationyou provide including, but not limited to, your user name, password, first and last name, email address, telephone number (including mobile phone number), street address, gender, occupation, interests, messages you post or comments you make, and any other data included in your interaction with the Site. When you use the Site, we may automatically collect information from your computer or mobile device, including, but not limited to, your browser type, operating system, IP or MAC address, the domain name from which you accessed the Site, if you are accessing our Site with your mobile device, phone numbers, device names, date and times of use, clicks, page views, the amount of time you spend on each page, and search queries. When you access the Company’s profile on third-party websites such as Facebook, LinkedIn, and Twitter, we may also collect information automatically or provided by you. [Please note that your relationship with third-party websites is governed solely by your agreement with such third-party websites.] This Policy covers only data that we collect through the Site, and not any other data collection or processing, including, without limitation, the data collection practices of any affiliate or other third party, and any information that we collect offline.
The Company reserves the right to match any information collected with other information about you in any way permitted by applicable law. The Company will store this information on its equipment or the equipment of third parties that the Company has a relationship with for that purpose. If you create a Profile, information may be collected under your profile email address.

5. Use and Disclosure of Information

We may use any information collected pursuant to this Policy, including information that identifies you as a specific individual (“Personal Information”), for the purposes set forth in this Policy. We may use such information to provide our services and features to you, including to provide employer information to you, to measure and improve our services and features, and to provide you with customer support. We may also provide information collected pursuant to this Policy, including Personal Information, to employers that may be interested in contacting you. We will not sell your Personal Information or otherwise distribute it except in compliance with this Policy.
We may use, disclose, and/or sell, for any purpose, any information that does not identify you as a specific individual (“Non-Personal Information”), if allowed under applicable law. Non-Personal Information may include, without limitation, MAC addresses and other device identifiers; IP addresses; pixel tags and similar technologies; physical location information; and demographic information, including gender, dates of birth, types of positions sought, salary requirements, ZIP codes, etc. Non-Personal Information may also include Personal Information that has been aggregated or deidentified.
The Company may choose to maintain or delete Personal Information and Non-Personal Information collected from you pursuant to this Policy following any termination of your relationship with the Company, as permitted by applicable law.

6. Transfer of Data to Third Parties

We may use other companies to perform services in connection with our operations. If these companies have access to Personal Information, we will use best efforts to bind them to this Policy. We may also use third-party cloud service providers that provide hosting, data storage and other services pursuant to standard terms and conditions that may be nonnegotiable; these service providers have informed us or the general public that they apply security measures they consider adequate for the protection of information within their system, or they have a general reputation for applying such measures. However, we will not be liable (to the fullest extent permitted by law) for any damages that may result from the misuse of any information, including Personal Information, by these companies. These companies may have access to Non-Personal Information as well.
If you post your resume on the Company, please note that although the Company expressly prohibits the scraping of its Site any resume you post publicly is public information and the content may be copied by a third party in violation of these terms. The Companywill use reasonable security measures to help protect against the loss, misuse and alteration of the Personal Information under the Company’s control. While we strive to protect your information, we cannot guarantee its security.

7. Cookies

“Cookies” are text files that a website transfers to an individual’s hard drive or other website-browsing equipment for record-keeping purposes. Cookies allow the website to remember important information that will make your use of the site more convenient and enable certain information to be collected by the website host. Cookies cannot run any code and don’t contain viruses. Like most websites, the Company uses cookies for a variety of purposes to improve your online experience, for analytics, and for marketing. Our use of cookies from time to time may also include security, your preferences, site features, referral tracking, and advertising. You can choose to have your computer warn you each time a cookie is being sent, or you can choose to turn off all cookies. You do this through your browser settings. If you choose to turn cookies off, you may not have access to some Site features that make your experience more efficient and some services may not function properly.

8. Disclaimer of Warranty

TO THE FULLEST EXTENT POSSIBLE BY LAW, THE COMPANY DOES NOT WARRANT THAT THE SITE WILL OPERATE ERROR-FREE OR FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS. IF YOUR USE OF THE SITE OR CONTENT RESULTS IN THE NEED FOR SERVICING OR REPLACING OF YOUR EQUIPMENT OR DATA, OR ANY OTHER COSTS, LOSSES OR DAMAGES, THE COMPANY IS NOT RESPONSIBLE FOR THOSE COSTS. THE SITE AND ALL CONTENT THEREON IS PROVIDED ON AN “AS IS” BASIS WITHOUT ANY WARRANTIES OF ANY KIND.THE COMPANY, TO THE FULLEST EXTENT ALLOWED BY LAW, DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT. THE COMPANY MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE SITE SERVICES, CONTENT, SOFTWARE, TEXT, GRAPHICS AND LINKS. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION INCIDENTAL AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM THE USE OR INABILITY TO USE THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBIITY OF SUCH DAMAGES.

9. Limitation of Liability

TO THE FULLEST EXTENT POSSIBLE UNDER LAW, THE COMPANY’S MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SITE OR YOUR USE OF THE SITE AND/OR ITS CONTENT,OR ANY DELAYS OR FAILURE IN PERFORMANCE RESULTING FROM ACTS BEYOND THE CONTROL OF THE COMPANY, OR EQUIPMENT FAILURES, WHETHER BASED ON BREACH OF WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY, WILL NOT EXCEED $100.

10. General

This Policy is governed by the substantive laws of the Commonwealth of Massachusetts. You agree to the exclusive personal jurisdiction in the state and federal courts located in Boston, Massachusetts for all claims arising under this Policy. If any provision of this Policy is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall be enforced to the maximum extent allowed. No waiver of or failure of the Company to enforce any term herein shall be deemed a further or continuing waiver of such term or any other term. This Policy (as periodically amended) shall remain in full force and effect while you are a user of the Company Site. The Company reserves the right to terminate your use of the Site at any time.

11. Use of Site by Minors

The Site should not be used by individuals that are thirteen (13) years old and under. But, if you are under the age of 18, you must use the Site under the supervision of a parent or legal guardian.
